Background information
A Private Equity firm with the ambition to invest more in Healthcare and Life Science had found a new potential acquisition target. The potential acquisition target was a Nordic company with a global presence. Their long-term goal was to take the company to new heights internationally with a new owner.
Challenge
The private equity company, which hired Sirona, wanted an external party's due diligence, partly as a basis for a potential investment and partly as support during the acquisition process.
Implementation
Information was gathered and analyzed in a structured work process. The analyses were based on available public data, market and research reports, as well as the acquirer's own reports and data. In addition, several experts and representatives from identifying customer segments were interviewed. The aim of the qualitative and quantitative analyses was to identify the following:
- Current market conditions and market outlook based on historical growth and future trends
- The target's market opportunities based on market share and brand, product quality, current and potential customers, company leadership, competencies and internal processes
- Risk analysis of the target's activities and possible preventive measures
Outcome
Sirona acted as commercial advisor to the client throughout the process and delivered the analysis in a final report. The report was very well received by the client and other partners (e.g. banks, lawyers and insurance companies) and played an important role in the client's acquisition process.
